|Job Description||Exponential™ is seeking a part-time junior, hands-on attorney to assist our in-house legal and business affairs activities including contracts, financing, IP, privacy, trademark, and corporate governance. In this role, you will work closely with General Counsel, as well as various business unit leaders and members of management, to balance business and legal risks and provide guidance to internal customers on effectively structuring contractual relationships that support the continued profitable growth of the company.
Review, negotiate and draft commercial contracts including revenue contracts, partnership agreements, professional service arrangements, lease agreements, and vendor relationships
Support corporate development process, including deal structure, pricing, negotiation, financing, and due diligence
Manage patent and trademark portfolio and applications
Support international operations, master service agreements, and transfer pricing arrangements
Coordinate all internal legal activities and manage outside counsel relationships.
Ensure regulatory compliance and best practices for industry specific issues including can-spam and privacy policies
Facilitate internal IP strategy activities and coordinate with outside IP counsel as needed
Become key resource for continued development of corporate governance practices, SOX compliance, and stock administration
3+ years legal experience, preferably top Silicon Valley law firm experience and in-house technology company experience. JD degree and Member of the CA bar
Technology company experience required, experience in Internet and/or online media preferred
Proven track record of balancing business and legal priorities of the company
Proven ability to achieve results in a fast moving, dynamic environment and a demonstrated ability to work well with people
Excellent communication (written and verbal) and interpersonal skills
The ability to multi-task and meet deadlines and to work cross-functionally within organization to achieve goals
Recent experience with SOX compliance, and SEC reporting is a plus
